Microsoft and OpenAI Restructure Partnership: Non-Exclusive License Through 2032, AGI Clauses Removed, Revenue Share Capped

Microsoft and OpenAI announced a revised partnership agreement on April 27. Microsoft's license to OpenAI IP becomes non-exclusive through 2032; OpenAI can now deploy models on any cloud, while Azure retains right of first refusal when capable of fulfilling requirements. Revenue share payments from OpenAI to Microsoft are subject to a total cap but continue through 2030 independent of model progress milestones. Provisions contingent on an AGI determination have been removed entirely, eliminating a major source of contractual uncertainty for both parties.
